
Site Terms and Conditions

The Green Book Alliance (“GBA,” “we,” “us,” or “our”) welcomes you to https://www.greenbookalliance.org/ (the “Site”). The GBA is a joint initiative of BookNet Canada (“BookNet”), the Book Industry Study Group, Inc. (“BISG”), and Book Industry Communication Ltd (“BIC”) (collectively, the “Partners”). These Terms and Conditions (“Terms”) set out the terms and conditions for visiting, interacting with, or using the Site. By using the Site, you agree to these Terms and to any other policies referenced here, including our Privacy Policy. If you do not agree, please stop using the Site immediately.
1. Who We Are and How These Terms Work
The Green Book Alliance was formed in 2020 by BookNet Canada, BISG, and BIC to support environmental sustainability in the book industry. BookNet Canada operates and manages the Site on behalf of the GBA and its servers are located in data centres operating globally. These Terms apply to every visit, page view, file download, account registration, or submission you make through the Site. Your agreement is with BookNet Canada, acting in its capacity as operator of the Site.
These Terms include our Privacy Policy. In the event of conflict, these Terms govern your use of the Site, and the Privacy Policy governs the handling of personal information/personal data. We may also introduce additional terms for specific features or services offered through the Site. Any additional terms will be posted on the relevant pages of the Site and will take priority over these Terms to the extent of any conflict.
2. Your Responsibilities When Using the Site
You must use the Site only for lawful purposes. As a condition of your use, you agree:

not to post or transmit anything that is defamatory, obscene, hateful, discriminatory, or otherwise objectionable;

not to upload malware, attempt to gain unauthorized access, or interfere with the Site’s security features;

to keep any passwords, access codes, or other login details confidential — you are responsible for all activity under your credentials;

to respect our intellectual property and that of the Partners (see Section 5 below);

not to reverse engineer, decompile, copy, modify, distribute, transmit, license, sublicense, display, transfer, sell, or otherwise make available to any third party, or create derivative works from, any part of the Site, or its underlying methodology;

not to exploit the Site, or content in any way except as permitted by these Terms or as expressly provided under applicable law;

you are responsible for ensuring that your use of the Site complies with all applicable laws in your jurisdiction.
3. User Feedback
If you submit any feedback, suggestions, ideas, or comments to us through the Site (“Feedback”), you agree that:

Your Feedback is provided voluntarily and without any expectation of compensation, credit, or confidentiality.

You grant the GBA and its Partners a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free, and non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, display, and otherwise exploit your Feedback for any purpose, including developing new features, without any obligation to you.

You waive any and all moral rights and any other rights you may have in the Feedback, to the fullest extent permitted by law.

You represent and warrant that your Feedback does not infringe or violate the rights of any third party, including intellectual property, privacy, or other proprietary rights.

The GBA is under no obligation to review, use, or return any Feedback you submit.
4. Intellectual Property
Everything you see or read on the Site — including text, graphics, photographs, logos, downloads, videos, and the overall design — is owned by the GBA, one or more of its Partners, or licensed to us. All content on the Site is protected by copyright, trademark, and other applicable intellectual property laws. The “Green Book Alliance” name, logo, and associated branding are trademarks of the GBA. Each Partner (BookNet Canada, BISG, and BIC) retains ownership of its own background intellectual property.
You are strictly prohibited from using any of the GBA’s or its Partners’ trademarks, logos, or other proprietary information without express prior written permission. This includes using any such marks in connection with any product or service that is not ours, in any manner likely to cause confusion, or in any way that disparages or discredits the GBA or its Partners.
Any unauthorized use of the Site’s content, or any trademarks may violate copyright, trademark, and other laws, and could result in civil or criminal penalties.
5. Acceptable Use Policy
You must use the Site only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else’s use and enjoyment of the Site. In addition to the responsibilities listed in these Terms, your use of the Site is also governed by our Acceptable Use Policy, which is attached as Appendix 1 and forms part of these Terms. Please review Appendix 1 for a detailed list of prohibited activities and requirements. By using the Site, you agree to comply with the Acceptable Use Policy.
6. Third-Party Content and Links
We sometimes link to articles, tools, or other external sites for your convenience. We do not control—and are not responsible for—the content, security, or privacy practices on those sites. A link from our Site is not an endorsement. The Site may contain hyperlinks or references to third-party websites other than the Site. Any such hyperlinks or references are provided for your convenience only. We have no control over third-party websites and accept no responsibility for any content, material, or information contained in them. The display of any hyperlink and reference to any third-party website does not constitute an endorsement of such third party's website, products, or services. Your use of a third-party site may be governed by the terms and conditions of that third-party site.
7. Disclaimer of Warranties
We do our best to keep the Site current, secure, and functioning properly, but we provide the site “as is” and “as available.” To the maximum extent permitted by law, we make no warranties — express or implied — about the Site including it’s accuracy, completeness, reliability, or fitness for a particular purpose. We do not warrant that the Site will be available at all times or that the site will be free of errors, bugs, or interruptions. Nothing in these Terms affects any mandatory statutory rights you may have. We are not responsible for any loss of data or for any failure to store or retrieve submitted information.
8. Limitation of Liability
To the fullest extent allowed by law, the GBA, its Partners, and their respective directors, officers, employees, and agents will not be liable for any indirect, incidental, special, or consequential losses arising out of or in connection with your use of (or inability to use) the Site. If we are found liable for any reason, our aggregate liability will not exceed one hundred Canadian dollars (CAD $100). We will not be liable for any loss or damage that we could not reasonably anticipate when you started using the Site. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by applicable law.
9. Indemnity
You agree to indemnify, defend, and hold harmless the GBA, its Partners, and their respective affiliates, directors, officers, employees, agents, and third-party sources from and against any and all suits, losses, claims, demands, liabilities, damages, costs, and expenses (including reasonable legal fees) that arise from or relate to your violation of these Terms. The GBA reserves the right, but not the obligation, to participate in the defense or settlement of any such claim. This indemnity survives the termination of your use of the Site.
10. Privacy and Cookies
Our Privacy Policy explains how we collect, use, and safeguard personal information. By using the Site, you acknowledge that we may process information as described there, including the use of cookies or similar technologies to analyze traffic and improve functionality.
11. Security
We use commercially reasonable measures to protect the Site and the information we hold. However, no website can guarantee absolute security. Please use appropriate caution when sending information over the internet. You are responsible for keeping your login credentials secure.
12. Age Restrictions
The Site is intended for individuals who are at least 18 years old. We do not knowingly collect personal information from children under 18.
13. Changes to the Site or These Terms
We may update the Site, or these Terms from time to time. If changes are material, we will post an updated version with a revised “Last updated” date. Your continued use of the Site after changes means you accept the revised Terms. It is your responsibility to check these Terms from time to time to verify any updates.
14. Suspension or Termination
We reserve the right to suspend or terminate your access to the Site, without notice, if we believe you have violated these Terms or applicable law, or if the Site is undergoing maintenance or experiencing technical issues.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect.
16. Entire Agreement
These Terms, together with any other policies or agreements expressly incorporated by reference (such as the Privacy Policy), constitute the entire agreement between you and the GBA regarding your use of the Site. They replace any earlier discussions or agreements about this subject, whether written or oral. Any waiver of a provision of these Terms will only be effective if it is in writing and signed by us. If we do not enforce a particular provision at any time, this does not mean we waive our right to enforce that provision or any other provision in the future. You may not assign or transfer any of your rights or obligations under these Terms to any other person.
17. Force Majeure
We will not be liable for any failure to perform our obligations under these Terms where that failure results from circumstances beyond our reasonable control, including strikes, lock-outs, breakdown of systems or network access, flood, fire, explosion, or accident.
18. Interpretation
Headings in these Terms are provided for convenience only and do not affect how the Terms are interpreted. When we use words like "including" or "includes," we mean "including without limitation." The language used in these Terms reflects the mutual intent of both parties, and no rule of strict construction will be applied against either party.
19. Language
It is the express wish of both parties that these Terms and all related documents be written in English.
20. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws principles. Any disputes will be resolved in the courts located in Toronto, Ontario.

Appendix A – Acceptable Use Policy
The following activities are not allowed on or in connection with the Site:

Illegal or Fraudulent Use: Do not use the Site for any unlawful, fraudulent, or malicious purpose.

Intellectual Property Infringement: Do not copy, reproduce, distribute, modify, or create derivative works from any content on the Site without our written permission. Do not remove or alter any copyright, trademark, or other proprietary notices.

Security Violations: Do not attempt to gain unauthorized access to the Site, its servers, or any other systems or networks connected to the Site. Do not upload, transmit, or distribute viruses, malware, or any other harmful code.

Interference and Disruption: Do not interfere with the operation of the Site or the experience of other users. This includes actions that place an unreasonable load on our infrastructure, such as using bots, crawlers, or other automated systems to access the Site.

Impersonation and Misrepresentation: Do not impersonate any person or entity, or misrepresent your affiliation with any person or entity.

Offensive Content: Do not post, upload, or transmit any content that is defamatory, obscene, hateful, discriminatory, harassing, threatening, or otherwise objectionable.

Commercial Exploitation: Do not use the Site for commercial purposes without our prior written consent, including advertising, soliciting, or selling products or services.

Reverse Engineering: Do not decompile, reverse engineer, or otherwise attempt to discover the source code, underlying methodology, algorithms, or emission factors of the Site.

Data Collection: Do not systematically collect or harvest data from the Site, including through the use of automated tools, for the purpose of creating a database or directory.

Trademarks and Branding: Do not use the Green Book Alliance name, logo, or any Partner’s proprietary information without express written consent.
If you violate this Acceptable Use Policy, we may suspend or terminate your access to the Site without notice and take any other action we deem appropriate.
